Welcome to ClipFoundry ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our AI-powered video clipping platform. By accessing or using ClipFoundry, you agree to be bound by these Terms and our Privacy Policy.

2. Eligibility and Account Registration

You must be at least 18 years old to use ClipFoundry. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.

3. Acceptable Use

You agree to use ClipFoundry only for lawful purposes. You may not:

• Upload content that violates copyrights, trademarks, or other intellectual property rights
• Upload harmful, offensive, or illegal content
• Attempt to reverse engineer or compromise our AI technology
• Use our service to compete with or replicate our offerings

4. Content and Intellectual Property

You retain ownership of the original content you upload. By using our service, you grant ClipFoundry a limited, non-exclusive license to process your content and generate clips. You warrant that you have the right to upload and process all content. ClipFoundry owns all rights to our platform, AI technology, and generated improvements to our service.

5. Payment Terms and Credits

ClipFoundry operates on a credit-based system where 1 credit = 1 minute of video processing. Credits are non-refundable and non-transferable. All payments are processed securely through Stripe. We offer subscription plans and one-time credit purchases. You can cancel subscriptions at any time, with access continuing until the end of your billing period.

6. Refund Policy

We offer a 30-day money-back guarantee on all paid plans. If you are not satisfied with our service within 30 days of your purchase, you may request a full refund. Refund requests should be submitted through our customer support. Once approved, refunds will be processed to your original payment method within 5-10 business days.

7. Service Availability and AI Limitations

ClipFoundry is provided "as is" without warranties. While our AI strives for accuracy, we cannot guarantee that generated clips will meet your specific expectations or go viral. We do not guarantee 100% uptime and may perform maintenance that temporarily affects service availability.

8. Data Processing and Privacy

Uploaded videos are processed by our AI systems and automatically deleted within 24 hours. Generated clips and metadata are stored until you delete them. We use industry-standard security measures to protect your data. For detailed information, see our Privacy Policy.

9. Limitation of Liability

ClipFoundry's total liability is limited to the amount you paid for our service in the last 12 months. We are not liable for indirect, incidental, or consequential damages. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.

10. Account Termination

We may suspend or terminate your account for violations of these Terms, illegal activity, or abuse of our service. You may delete your account at any time through your account settings. Upon termination, your access to credits and generated content will cease.

11. Governing Law and Disputes

These Terms are governed by applicable law without regard to conflict of law provisions. Any disputes will be resolved through binding arbitration, except for claims that may be brought in small claims court.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our service. Continued use after changes constitutes acceptance of the updated Terms.
